Terms and conditions

The agreement between you and One Rectangle Limited for using Mivva, in plain English.

Last updated

01About these terms

These terms are the agreement between you and One Rectangle Limited ("we", "us") for using Mivva, our website and app for planning, designing and preparing books for Amazon Kindle Direct Publishing (KDP) and other platforms.

By creating an account, you agree to these terms. Please read them carefully. If you do not agree, do not use Mivva.

Some terms differ depending on who you are. You are a consumer if you use Mivva wholly or mainly for purposes outside your trade, business or profession. You are a business customer if you use Mivva for your trade or business, including as a sole trader publishing books for profit. Where a term applies to only one of these, it says so.

02Tokens, prices and refunds

Mivva is pay as you go. There is no subscription. You buy tokens by topping up your wallet, from £5 at a time, and spend them on title research, writing, pictures, checks and files.

  • We may give new accounts, or individual accounts, some free tokens. The current signup amount, if any, is shown on our pricing page. Free tokens cannot be refunded or exchanged for money.
  • Before you pay, we show the price in pounds, including any VAT, and how many tokens it buys. We are the seller. Our payment provider, Stripe, takes the payment in a secure form on the wallet page, and the tokens are added once Stripe confirms it.
  • Saved cards. You can choose to let Stripe save your card for future top ups. We only charge a saved card when you start a top up and confirm the amount. There are no automatic or repeat charges. To remove a saved card, email hello@orlimited.com.
  • If a payment is refunded, we take the tokens it bought back out of your wallet, up to your current balance. If you ask your bank to reverse a payment for tokens you have already used, we may suspend your account while we sort it out with you.
  • If tokens are added to your wallet by mistake, we may remove them and will tell you if we do.
  • Each step shows its price in tokens and asks you to confirm before it starts. The tokens are set aside while it runs. If the step fails, they go back to your wallet. If only part of it finishes, such as 8 of 10 pictures, you pay only for the part that finished.
  • We may change the token price of steps. The app always shows the current price before a step starts, and a change never alters tokens you have already bought or used.
  • Tokens have no cash value. You cannot sell or transfer them, and you can only use them in Mivva. They do not expire while your account is open.
  • If a step does not work because of a fault on our side, tell us and we will return the tokens it used.

Your right to cancel a top up

As a consumer, you normally have 14 days to cancel a purchase of digital content under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. When you top up, you ask us to add the tokens straight away, and you agree that you lose the right to cancel for any tokens you then use.

You can still cancel within 14 days of a top up and get your money back for the tokens from it you have not used. Email hello@orlimited.com from the address on your account. We refund to the card you paid with within 14 days of agreeing the refund, and remove the refunded tokens from your wallet.

If we stop offering Mivva, we will refund paid tokens you have not used.

03Your account

  • You must be 18 or over to create an account.
  • Give us an email address you control and keep it up to date. You must confirm it, using the link we email you, before you can use your account. We use it for important messages about your account.
  • To protect your account and tokens, we sign you out after 24 hours without activity. Your books and tokens are not affected. Just sign in again.
  • Keep your password secret and do not share your account. Accounts are for one person. Team access is planned for a later update.
  • Tell us straight away at hello@orlimited.com if you think someone else has used your account.
  • You are responsible for what happens in your account, unless it happens because we failed to keep Mivva reasonably secure.

04What Mivva does and does not do

Mivva helps you plan a book in a chat, check titles against Amazon if you want to, make and check the pages, and download files you can upload to KDP and other platforms. It is a tool that supports your decisions. It does not make them for you.

  • Title research is a guide, not a promise. Marketplace results, rankings, prices, reviews and search trends change over time and can be incomplete. They do not predict or guarantee sales, rankings, royalties or profit. When we cannot find a number, we say so rather than guess.
  • AI can make mistakes. Text and pictures made with AI can contain errors, odd details or content that resembles existing work. You must check everything before you publish it.
  • Checks are warnings, not legal advice. Trademark, copyright and similarity warnings may miss problems or flag things that are fine. If you are unsure about rights, take advice from a qualified professional.
  • We do not publish for you. Mivva never asks for your Amazon password and cannot publish, change or remove books in your KDP account.
  • We are independent of Amazon. Mivva is not affiliated with, endorsed by or sponsored by Amazon. We cannot promise that KDP will accept any book or file.

05Your responsibilities as a publisher

You are the publisher of any book you make with Mivva. You agree to:

  • review and approve every page, cover and listing before publishing
  • follow Amazon's KDP terms and content guidelines (opens in a new tab), including telling Amazon when content is AI-generated where KDP asks you to
  • make sure you have the rights to anything you upload or add, such as images, fonts, text or brand names
  • check that titles, characters and names do not infringe anyone else's trademarks or copyright
  • describe your books honestly and not mislead buyers
  • make your own decisions about pricing, advertising spend and tax

06Acceptable use

You must not use Mivva to:

  • copy, closely imitate or pass off other people's books, illustrations, characters or brands
  • create content that is unlawful, hateful, harassing, sexually explicit or harmful, or any content that sexualises or endangers children
  • mass-produce low-quality or duplicate books, or otherwise flood marketplaces
  • write fake reviews, manipulate rankings or break any marketplace's rules
  • scrape, overload, probe or disrupt Mivva, or get around its security, limits or cost controls
  • copy, resell or reverse engineer Mivva, except where the law allows it
  • use another person's account or personal data without permission

If you break these rules, we may remove content, suspend your account or close it, as explained below.

07Your content and what you make

You own your content. This includes what you put into Mivva, such as chat messages, ideas, stories and instructions, and what Mivva makes for you, such as pages, covers, listing text and files. To the extent we have any rights in what Mivva makes for you, we transfer them to you.

You give us permission to store, copy, process and send your content only as needed to run Mivva for you, keep it secure and meet our legal duties. This includes sending it to the providers listed in our privacy policy. The permission ends when you delete the content or close your account, apart from deleted items we keep hidden for 90 days for our records and copies in backups. Both expire on the schedule in that policy.

We do not use your content to train AI models, and we do not publish or share it with other users unless you choose to.

Sharing on the Community shelf. Your books are private by default. If you share a book on the Community shelf, other signed-in Mivva users can see its title, subtitle, pen name, kind, age range, length, short description, cover and some of its page pictures, and can start a book like it. You give us permission to show those parts to them while the book is shared. You can take it off the shelf at any time in the book's settings. Books drawn from photos of real people cannot be shared. Only share a book you have the right to share.

AI tools can produce similar results for different people, so we cannot promise that what Mivva makes is unique. The law on ownership of AI-generated material is still developing, and some countries may not protect it by copyright.

If you send us feedback or ideas about Mivva, we may use them to improve the service without paying you, and we will not name you without permission.

08Our intellectual property

Mivva's software, design, page templates, text and brand belong to One Rectangle Limited or our licensors. While you have an account, you may use Mivva for its intended purpose. You may use the layouts and templates as part of the books and files you make with Mivva, including in books you sell. You may not copy or sell the templates on their own.

09Other services Mivva relies on

Mivva uses other companies' services, including AI, search and hosting providers. Amazon and Google results come from public marketplace and search data. If one of these services changes, limits access or stops working, some Mivva features may be affected. We will tell you about significant changes and try to offer an alternative. Your use of KDP is governed by Amazon's terms, not ours.

10Availability and changes to Mivva

We will provide Mivva with reasonable care and skill. We aim to keep it running at all times, but it may occasionally be unavailable for maintenance, updates or reasons outside our control.

We may change Mivva to improve it, keep it secure or follow the law. If a change significantly reduces what you can do, we will tell you in advance where we reasonably can. Please download copies of files you want to keep, as you would with any online service.

11Suspending or closing accounts

You can close your account at any time by emailing hello@orlimited.com from the address on your account. We will delete your data as our privacy policy describes.

We may suspend or close your account if:

  • you seriously or repeatedly break these terms
  • we must do so by law or at the request of a regulator or court
  • your use puts Mivva, other users or other people at risk

While your account is suspended, you are signed out and cannot sign in. Your books and tokens are kept unless we close the account.

Where it is safe and lawful, we will tell you why first and give you a chance to put things right and download your files. If we decide to stop offering Mivva altogether, we will give you at least 60 days' notice so you can download your work.

12Our responsibility for loss

For everyone

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit.

If you are a consumer

We are responsible for loss or damage you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care and skill. Loss is foreseeable if it is obvious it will happen, or if we both knew it might happen when you started using Mivva. We are not responsible for loss that is not foreseeable. Nothing in these terms affects your legal rights under the Consumer Rights Act 2015. For advice on your rights, contact your local Citizens Advice.

If digital content we supply damages a device or digital content that belongs to you because we did not use reasonable care and skill, we will either repair the damage or pay you fair compensation.

If you are a business customer

  • We are not liable for loss of profits, sales, royalties, revenue, business or goodwill, for the suspension of a KDP account or the removal of a book, or for any indirect or consequential loss.
  • Our total liability to you in any 12-month period is limited to the greater of £100 and the fees you paid us in the 12 months before the claim.
  • Except as set out in these terms, we exclude all implied terms, conditions and warranties to the extent the law allows.
  • You will cover our reasonable losses and costs from any claim by a third party that a book you published, or content you uploaded, breaks the law or infringes their rights.

13Your personal data

We handle your personal data as our privacy policy and cookie policy explain.

14Complaints and disputes

If something goes wrong, please tell us at hello@orlimited.com. We will acknowledge your complaint within 2 working days and try to resolve it quickly and fairly.

These terms are governed by the law of England and Wales, and the courts of England and Wales can hear any dispute. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts, and you keep the protection of the mandatory laws where you live.

15Changes to these terms

We may update these terms to reflect changes to Mivva, the law or our business, for example when we add features or change how tokens work. For changes that affect your rights or obligations, we will email you at least 30 days before they take effect. If you do not agree, you can close your account before then. Minor changes, such as clearer wording, take effect when we publish them. The date at the top shows the latest version.

16Other important terms

  • We may transfer this agreement to another organisation, for example if our business is sold. Your rights under these terms will not be reduced, and we will tell you. You may not transfer your account without our written agreement.
  • Nobody else has any rights under these terms. The Contracts (Rights of Third Parties) Act 1999 does not apply.
  • If a court finds part of these terms unlawful, the rest stays in force.
  • If we do not enforce a term straight away, we can still enforce it later.
  • We are not responsible for delays or failures caused by events outside our reasonable control. We will tell you and do what we can to limit the effect.
  • For business customers, these terms are the whole agreement between us about Mivva.
  • We will send notices to the email address on your account. You can send notices to us by email or by post to our registered office.
